These Terms and Conditions outline the rules and regulations for using our website (www.onidesignwa.com) and our services, including photography, graphic design, UI design, social media content creation, and social media management. By accessing this website or booking services, you agree to comply with these Terms and Conditions. If you disagree with any part of these terms, please do not use our website or services.

• Client: The person or entity contracting services with Oni Design.
• Designer: The individual providing graphic design, UI design, and related creative services.
• Photographer: The individual providing photography services.
• Services: Photography, graphic design, UI design, social media content creation, social media management, and any other services provide

• Bookings: A deposit may be required to secure a project or service. This deposit is non-refundable and will be applied toward the total cost.
• Payments: For all services, full payment must be made before final deliverables are provided, unless otherwise specified in the contract.
• Additional Fees: Any additional services, changes in scope, or additional revisions requested by the Client may incur additional fees. These fees will be discussed and approved by the Client prior to commencement.

• Scope: Graphic design services include branding, logos, marketing materials, digital ads, and similar creative assets as agreed upon in the project brief.
• Revisions: Up to 2 rounds of revisions are included in the quoted price. Additional revisions beyond this limit may incur additional fees.
• Delivery: Final design files will be provided in agreed formats (JPEG, PNG, PDF, etc.) once full payment is received.
• Client Usage: Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the designs for their intended purpose. Oni Design retains the right to display these designs in portfolios and marketing materials unless otherwise agreed in writing.

• Scope: UI design services include the creation of visual layouts, prototypes, and mockups for websites or mobile applications as specified by the Client.
• Revisions: Up to 2 rounds of revisions are included within the project scope. Additional changes may incur additional fees.
• Delivery: Final UI files will be delivered in formats such as Adobe XD, Figma, or other agreed-upon formats. Clients will receive assets upon final payment.
• Ownership: Once payment is received in full, the Client will have rights to use the design files for development and implementation. Oni Design retains the right to showcase non-confidential elements in portfolios.

• Scope: Content creation includes the development of visual content, copywriting, and branded assets for social media as agreed upon in the project proposal.
• Delivery: Content will be delivered according to the schedule agreed upon with the Client, usually via email or cloud storage. Oni Design will provide final files optimized for social media platforms.
• Client Usage: Upon full payment, the Client may use the content solely for their social media channels. The Client agrees not to resell or repurpose content without permission.
• Revisions: 2 rounds of revisions on social media content are included in the project scope. Additional revisions will be billed separately.

• Scope: Social media management services include content planning, scheduling, account management, engagement, analytics, and reporting.
• Service Term: Social media management services require a minimum commitment period of 3 months unless otherwise stated in the contract.
• Payment Terms: Monthly retainers are billed at the start of each month. If services are canceled mid-month, no refund will be provided for that period.
• Client Responsibilities: The Client is responsible for providing access to their social media accounts, as well as any branding guidelines, assets, or relevant information needed for account management.
• Ownership of Content: All content created for social media management remains the property of Oni Design until payment is received in full. Upon full payment, the Client has rights to the content for their platforms only.

• Oni Design retains all intellectual property rights over any work produced until full payment is received. Upon payment, the Client is granted a license to use the designs and content as outlined in the agreement.
• The Client agrees not to alter, resell, or distribute the work without prior consent from Oni Design.
• Oni Design reserves the right to showcase non-confidential work for promotional purposes, including in portfolios, on the website, and on social media.

• Client Cancellations: Cancellations within 7 days may result in forfeiture of the booking fee or deposit. Refunds may be considered on a case-by-case basis.
• Oni Design Cancellations: If Oni Design must cancel the project, any fees paid in advance will be refunded, or a reschedule may be arranged at the Client’s convenience.

• Both Oni Design and the Client agree to keep all sensitive business information confidential, including proprietary designs, marketing plans, and any non-public information shared during the project.
• Oni Design reserves the right to showcase completed non-confidential work in portfolios, on the website, and on social media unless otherwise agreed upon.

• Oni Design is not liable for any indirect, incidental, or consequential damages arising from the use of our services. In the event of any issues, Oni Design’s liability will be limited to the fees paid for the affected service.
• The Client assumes full responsibility for providing accurate information and account access necessary for the project.

• Oni Design values your privacy and is committed to protecting your personal information. We do not sell, share, or distribute your information to third parties except as required to complete the transaction or as outlined in our Privacy Policy.

• These Terms and Conditions are governed by and construed in accordance with the laws of Western Australia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Western Australia.

• Oni Design reserves the right to update these Terms and Conditions at any time. Updates will be posted on this page, and it is recommended that Clients review these terms periodically.
